By accessing or using CloudGPT ("the Service", "we", "us", or "our"), you ("User" or "you") agree to be legally bound by these Terms of Service ("Terms") and all applicable laws and regulations. If you disagree with any part of these Terms, you may not access or use the Service.

If you are entering into these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity, in which case "you" and "your" refer to that entity.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CloudGPT and supersede all prior or contemporaneous agreements, representations, and understandings.

To use CloudGPT, you must:

• →Be at least 18 years of age, or the age of majority in your jurisdiction, whichever is greater
• →Have the legal capacity to enter into a binding contract
• →Not be prohibited from receiving our services under any applicable laws or sanctions
• →Provide accurate, current, and complete registration information and keep it updated

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must immediately notify us at fricker2025@gmail.com of any unauthorized use of your account or any other security breach. CloudGPT is not liable for any losses resulting from unauthorized use of your account where you failed to promptly notify us.

CloudGPT provides a unified API gateway to access various AI language models and related services. Our Service includes:

• →OpenAI-compatible API access to multiple AI providers through a single endpoint
• →Usage tracking, billing management, and a developer dashboard
• →API key management, rate limiting, and monitoring tools
• →Access to AI capabilities including text generation, image generation, and embeddings

We reserve the right to modify, add, or remove AI models and features at any time without prior notice. The availability of specific AI models may be subject to the policies, pricing, and availability of underlying third-party AI providers, over which CloudGPT has no control.

You retain full ownership of any content, prompts, inputs, or data you submit to the Service ("Your Content"). By submitting Your Content, you grant CloudGPT a limited, non-exclusive, worldwide, royalty-free license to process, transmit, and route Your Content solely as necessary to provide the Service to you. This license terminates when you delete Your Content or close your account.

You represent and warrant that:

• →You own or have obtained all necessary rights, licenses, and permissions to submit Your Content
• →Your Content does not and will not violate any third-party intellectual property, privacy, or other rights
• →Your Content does not violate any applicable law, regulation, or these Terms
• →You are solely responsible for the legality, accuracy, and appropriateness of Your Content

Any feedback, suggestions, or ideas you voluntarily provide to CloudGPT may be used by us for any purpose without compensation or attribution to you.

The CloudGPT platform, including its software, algorithms, user interfaces, branding, logos, trade names, documentation, and all related intellectual property, is and remains the exclusive property of CloudGPT and its licensors. All rights not expressly granted are reserved.

• →The "CloudGPT" name, logo, and branding are trademarks and may not be used without our prior written consent
• →You may not copy, modify, distribute, sell, lease, or sublicense any part of our Service or underlying software
• →You may not reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Service
• →AI-generated outputs may be subject to the intellectual property terms of the respective underlying AI providers
• →CloudGPT does not claim ownership of AI-generated outputs created from Your Content

CloudGPT operates on a usage-based billing model:

• →Free tier includes limited monthly credits; paid plans are billed on a recurring monthly or annual basis
• →Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date
• →All fees paid are non-refundable except as expressly required by applicable law or as stated in writing by CloudGPT
• →You are solely responsible for all applicable taxes, duties, and levies arising from your use of the Service
• →Accounts with overdue or failed payments may be suspended following 7 days' written notice
• →Billing disputes must be raised within 30 days of the charge date; disputes after that period will not be honored
• →Prepaid credits and balances are non-transferable and expire immediately upon account termination
• →We reserve the right to modify pricing with at least 30 days' advance written notice

Your API keys are security credentials that authorize access to the Service. You are solely responsible for:

• →Maintaining the strict confidentiality and security of all your API keys at all times
• →All API usage and resulting charges incurred under your keys, regardless of who performed the actions
• →Immediately rotating and notifying us of any API key that is compromised, exposed, or used without authorization
• →Not embedding API keys in publicly accessible source code, repositories, client-side applications, or any location accessible to unauthorized parties
• →Not sharing API keys across different users, teams, or organizations without proper authorization controls

CloudGPT reserves the right to revoke API keys at any time for suspected or confirmed policy violations or security concerns, without prior notice. All charges incurred prior to revocation remain your responsibility.

The Service is provided "as is" and "as available" without any warranties of any kind.

To the fullest extent permitted by applicable law, CloudGPT expressly disclaims all warranties, express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

• →We do not warrant that the Service will be uninterrupted, timely, secure, error-free, or free of viruses or other harmful components
• →We do not warrant the accuracy, completeness, reliability, or usefulness of any AI-generated content
• →We make no warranties regarding the uptime, reliability, security, or policy compliance of any third-party AI provider
• →We are not responsible for any decisions made, actions taken, or harms suffered in reliance on AI-generated content

AI-generated content does not constitute professional, legal, medical, financial, psychological, or any other form of professional advice. You should not rely on it as such and should seek qualified professional counsel where appropriate.

To the maximum extent permitted by applicable law, in no event shall CloudGPT, its affiliates, officers, directors, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages whatsoever.

• →We are not liable for loss of profits, revenue, data, goodwill, business opportunities, or business interruption
• →We are not liable for service outages or interruptions caused by third-party AI providers, infrastructure failures, or force majeure events
• →We are not liable for any harm arising from decisions made in reliance on AI-generated outputs
• →We are not liable for unauthorized access to your data resulting from your failure to secure your credentials

Our total cumulative liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) one hundred US dollars ($100) or (b) the total amounts actually paid by you to CloudGPT in the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not permit the exclusion or limitation of certain implied warranties or consequential damages, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless CloudGPT and its affiliates, officers, directors, employees, contractors, agents, licensors, service providers, and successors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• →Your access to or use of the Service, including any content you generate
• →Your violation of any provision of these Terms or any applicable law or regulation
• →Your violation of any third-party right, including intellectual property rights, privacy rights, or publicity rights
• →Any content or data you submit, transmit, store, or generate through the Service
• →Any misrepresentation made by you in connection with the Service or these Terms

CloudGPT reserves the right, at its own expense, to assume exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate fully with CloudGPT.

We reserve the right to:

• →Modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, without liability to you
• →Update these Terms at any time; material changes will be notified via email or prominent notice; continued use constitutes acceptance
• →Suspend or terminate your account immediately, without prior notice or liability, for violations of these Terms or for any other reason at our sole discretion
• →Add, remove, or modify AI models, pricing, and features with reasonable advance notice where practical

Upon termination for any reason, your right to access and use the Service ceases immediately. Sections covering payment obligations, content ownership, disclaimers, limitation of liability, indemnification, and dispute resolution shall survive termination of these Terms.

Informal Resolution First: Before initiating any formal proceeding, you agree to contact us at fricker2025@gmail.com describing the dispute in detail and providing 30 days for us to attempt an informal resolution in good faith.

Binding Arbitration: If informal resolution fails, all disputes, claims, or controversies arising out of or relating to these Terms or the Service shall be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, except as noted below.

Class Action Waiver: You and CloudGPT agree that each party may only bring claims against the other in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. No arbitrator may consolidate proceedings or preside over any form of class proceeding.

Jury Trial Waiver: Both parties expressly waive any right to a jury trial for any dispute arising under or in connection with these Terms or the Service.

• →Either party may bring qualifying claims in small claims court in their local jurisdiction as an alternative to arbitration
• →All claims must be filed within one (1) year of the event giving rise to the claim; claims not filed within this period are permanently barred
• →These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law provisions
• →Where arbitration is found inapplicable or unenforceable, disputes shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction therein

  Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable.

  No Waiver: Our failure or delay in enforcing any right or provision of these Terms shall not constitute a waiver of that right or provision and shall not prevent us from enforcing it in the future.

  Assignment: You may not assign or transfer these Terms or any rights hereunder without our prior written consent. CloudGPT may assign these Terms, in whole or in part, at any time without notice to you.

  Force Majeure: CloudGPT shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including natural disasters, pandemics, government actions, civil unrest, third-party infrastructure failures, cyberattacks, or internet outages.

  Notices: We may provide notices and communications via email to the address on file for your account or via a prominent notice on the Service. You are responsible for keeping your contact information current.

  Entire Agreement: These Terms and our Privacy Policy constitute the entire and exclusive agreement between you and CloudGPT regarding the Service and supersede all prior agreements, representations, and understandings.

  Export Controls: You agree to comply with all applicable export control and sanctions laws and regulations. You represent that you are not located in, under the control of, or a national or resident of any country subject to US embargo.
